Purpose

As a Paralegal, you will act as a liaison between the Legal team, external third parties, and other internal stakeholder teams to review and properly respond to various types of legal matters. Additionally, this role will be involved in reviewing and managing a variety of customer and vendor contracts, as well as supporting ad-hoc legal projects. To be successful in this role you will have strong organizational skills, a good knowledge of legal operations, and a willingness to continually evaluate and improve our processes to make things more efficient and productive for our business.

Essential Duties And Responsibilities

  • Review NDAs (third-party forms & redlines to FormFactor form)
  • Manage contract review, execution, and retention process (e.g., confirming necessary stakeholder involvement and sign-off, signature requests, tracking, filing, and assisting in contract audit process)
  • Identify and implement resource and process improvements within the Legal team and with stakeholders in other departments
  • Review and negotiate vendor and customer agreements (gradually moving from simple to complex, e.g., Memorandums of Understanding, Purchase Orders, Leases, Software Licenses, Consulting Agreements, Master Services Agreements, etc.) and help manage playbooks for such agreements
  • Manage and support our foreign subsidiaries annual compliance (e.g., coordinate with third-party service providers in corporate secretarial and subsidiary management matters) and maintain our foreign entity database
  • Assist business teams in understanding contract terms and resolving contractual disputes with vendors
  • Assist the legal team with monitoring relevant developments in the law and relevant to industry regulations
  • Identify opportunities for process improvements and contribute to the development and implementation of best practices within the legal department
  • Litigation management (e.g., implement litigation holds, support document preservation, collection, review, and production for discovery, compile and update litigation tracker)
  • Represent the Legal team in cross-functional projects and ensure that Legal’s requirements are understood and implemented by other teams and departments
  • Review and process outside counsel invoices and onboard new legal vendors
  • Perform ad hoc administrative tasks as a member of the Legal team such as filing, scheduling calls with outside counsel, processing mail, etc.

Education, Experience, And Skills Required

  • Bachelor's degree (paralegal degree preferred)
  • Minimum of 3 years of relevant experience, ideally in legal operations at a high-growth technology or consumer product company or in a corporate, litigation, or intellectual property practice at a law firm
  • Growth mindset, high integrity, highly tuned emotional intelligence, and the ability to work in a diverse and inclusive environment
  • Prior exposure to legal documents, concepts and workflows (prior contract negotiating or review experience strongly preferred)
  • Experience working cross-functionally
  • Tech savvy and proficient with technology applications, including experience using contract management and e-discovery software
  • Strong time management and problem-solving skills, including the ability to think quickly and be resourceful
  • Excellent written, presentation, organization and communication skills
  • Practical knowledge of civil litigation, including issues pertaining to civil procedure, discovery, document production, confidentiality, privilege, and motion practice
  • Strong analytical skills and attention to details
  • Ability to confidentially handle confidential and sensitive matters
  • Strong customer service, interpersonal and written communication skills
  • Ability to handle high stress situations in a professional, business-like manner

The pay range for this role in Beaverton, OR or Boulder, CO is between $34.65 and $45.46. The pay range may differ in other locations. FormFactor maintains broad salary ranges for its roles in order to account for variations in education, training, skills, relevant work experience, business needs and market demands. Candidates are typically placed into the range based on the preceding factors as well as internal peer equity.
