Position Overview:

Our client is seeking a talented and driven Corporate Counsel with 2+ years of experience from a law firm or in-house role. The ideal candidate will have a strong background in commercial contracts, particularly in the areas of technology, Software as a Service (SaaS), and data privacy. The Corporate Counsel will provide legal support across a broad range of legal matters and work closely with our business teams to help navigate legal risks and opportunities.

Key Responsibilities:

  • Draft, review, and negotiate a variety of commercial contracts, including SaaS agreements, licensing agreements, data processing agreements, and other vendor contracts.
  • Provide guidance on data privacy laws and regulations, including GDPR, CCPA, and other relevant privacy frameworks.
  • Advise on legal risks associated with new and ongoing business initiatives, including technology implementations, data usage, and third-party relationships.
  • Work cross-functionally with internal teams such as product, sales, and compliance to ensure legal compliance and support business growth.
  • Stay up-to-date with relevant changes in technology, privacy, and contract law to proactively inform the business on emerging issues.
  • Manage and coordinate with external legal advisors as needed.
  • Assist in the development and implementation of company-wide legal policies and procedures.

Qualifications:

  • J.D. from an accredited law school and admission to the New York State Bar.
  • Minimum 2 years of legal experience, preferably in-house or at a law firm, with a focus on commercial contracts related to technology, SaaS, or data privacy.
  • Strong understanding of data privacy laws and regulations, including GDPR, CCPA, and other relevant privacy frameworks.
  • Excellent contract negotiation and drafting skills.
  • Ability to work independently and manage multiple projects with a solution-oriented approach.
  • Strong analytical skills and attention to detail.
  • Effective communicator with the ability to collaborate with both legal and non-legal stakeholders.
