POSITION SUMMARY

Reporting to: Chief Executive Officer

Location: Hybrid/Remote – Periodic travel to offices in Reading, PA and Stamford, CT. Extensive travel for deals.

Key Responsibilities:

The Vice President of Corporate Development & Strategy will be responsible for rapidly growing the business by creating and executing against a robust M&A pipeline and designing and streamlining M&A processes and acquisitions models to support it. This leader will serve as a key partner to the CEO and Private Equity Sponsor, and will play a critical role in coordinating across multiple internal and external constituents while maximizing communication with the sellers.

Specific responsibilities include:

  • Oversee end-to-end M&A activities for Omega, from sourcing and diligence through to closing of deals. Partner with operations as needed through integration of new acquisitions.
  • Oversee the development of acquisition models used in the determination of offered purchase price including various upside and downside case scenarios.
  • Research and provide insight to the leadership on optimal target markets and assess new opportunities for organizational growth, evaluating potential growth opportunities and geographic expansions in line with Omega’s overall strategy and vision.
  • Work with the operations, finance, and third parties to prepare, analyze and explain historical and projected operational and financial information during the diligence process to include profit drivers, trends, run rate, and tax structure to build valuation analysis, including financial modeling for acquisition targets.
  • Define expected synergies (e.g., cross-sell, facilities, people, operational) of M&A targets in order to present a high-level plan to management and PE Sponsor, along with an expected timeframe for achievement.
  • Review transaction rationale and documents to identify critical business issues and risks relating to a proposed transaction.
  • Build management presentations and other materials to present to Omega’s leadership team and PE Sponsor for the internal evaluation of M&A targets. Develop materials for lender discussions around funding deals.
  • Manage all aspects of the closing requirements related to coordination of legal documents, suggestions to deal with structure from a legal and financial perspective, and communication to buy-side participants.
  • Be viewed as an M&A strategy expert. Execute deals by partnering and collaborating with finance, operations, legal, PE Sponsor, and external advisors.
  • Work with sellers, their lawyers, and other internal contacts, to finalize various purchase documents.
  • Ensure operational involvement at the appropriate stage in the acquisition process to provide seamless integration.

QUALIFICATIONS

We seek an industrious and creative M&A leader with a proven track record of closing high-volume acquisitions. The ideal candidate will have experience spearheading the end-to-end, cross-functional deal process, from initial diligence to closing, including business case building, financial analysis, valuation, and transaction structuring, and executive presentations. As a player/coach, this leader will be expected to quarterback multiple deal timelines, especially through the decision-making process, with demonstrated teamwork and collaboration.

  • 8+ years of M&A experience, with a background driving M&A for a fragmented industry with smaller revenue acquisition targets. IT managed services experience is highly preferred.
  • Experience driving M&A in a private equity-backed organization is required. Varied experience across in-house, private equity firm experience, and investment banking are a plus.
  • Experience with high-volume acquisitions with proven experience balancing multiple acquisition timelines simultaneously.
  • A successful track record of interacting with potential sellers, external support (e.g., legal, QoE, etc.), internal operations, and senior leadership.
  • Valuation experience and the ability to be creative in acquisition alternatives. Strong financial modeling ability and excellent analytical skills. Transaction experience in executing financial and operational due diligence.
  • Experience spearheading end-to-end, cross-functional deal processes, from sourcing, initial diligence to closing, including business case building, financial analysis, valuation and transaction structuring, and executive presentations. Integration experience is preferred.
  • Experience executing add-on deals of at least $10M enterprise value. Experience acquiring founder-led businesses is preferred.

  • Ability to build relationships based on trust, communication, and follow-through.
  • Strong organizational skills and a high degree of engagement. High tolerance for ambiguity and ability to build and develop something from scratch.

  • Bachelor’s degree in accounting or finance, or a related field.
