We are seeking a highly motivated and business-oriented Corporate Counsel to provide legal counsel, representation, and leadership across a variety of corporate, commercial, compliance, and governance matters. This role will report to the Chief Business and Legal Affairs Officer and work closely with Finance, Compliance, Human Resources, and other cross-functional teams. The successful candidate will focus primarily on transactional matters while also supporting corporate governance, compliance, litigation, and intellectual property protection.

General Responsibilities:

  • Assist the Chief Business and Legal Affairs Officer in providing legal support across a range of transactions, corporate governance, compliance, intellectual property, and litigation matters.
  • Collaborate with company leadership, including the CEO, CFO, and President of Commercial Operations to ensure compliance with the Company Code of Conduct and all applicable laws, rules, regulations, and industry codes.
  • Establish and maintain ethical and compliant leadership, ensuring a strong "Tone at the Top" for all company compliance initiatives.
  • Ensure all business is conducted in compliance with legal and regulatory requirements, including the AdvaMed Code, MDMA Code, FDA regulations, privacy laws, anti-kickback statutes, anti-bribery and corruption laws, and the Foreign Corrupt Practices Act (FCPA).
  • Support the SI-BONE Quality System and Compliance Program by ensuring legal alignment with regulatory requirements.
  • Oversee project portfolio management, including resource allocation, budgeting, and timeline management

General Responsibilities:

Corporate & Commercial Transactions:

  • Assist with the drafting, negotiation, and review of commercial agreements, including contracts with research institutions, healthcare professionals, distributors, manufacturers, customers, and vendors.
  • Advise executives on legal risks and contractual terms of business transactions and agreements.
  • Support corporate financing initiatives, in-licensing arrangements, and acquisitions, including due diligence and structuring.

Corporate Governance & Compliance:

  • Assist with corporate governance matters, including Board of Director activities, resolutions, and corporate policies.
  • Keep abreast of legislative and regulatory changes that may impact the company and advise on necessary adaptations.
  • Assist with drafting of performance-based equity and other metric-driven compensation plans
  • Review and contribute to SEC filings (e.g., 10-K and 10-Q) and assist in drafting proxy statements.
  • Provide training to employees and executives on legal, compliance, and corporate governance topics as needed.

Litigation, Risk Management & Regulatory Oversight:

  • Support the management of litigation and dispute resolution matters, working with external counsel when necessary.
  • Conduct legal research and provide guidance on regulatory compliance, employment law, and corporate risk.
  • Provide ad-hoc advice on day-to-day employment matters and coordinate with outside counsel on more involved matters
  • In cases of potential non-compliance with applicable quality requirements, authorize holds on product shipments or documentation processing and escalate matters to Quality and Regulatory leadership.

Knowledge, Education and Experience:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in a state bar (California preferred but not required).
  • 5+ years of experience in a corporate legal department or law firm handling corporate, compliance, and commercial law matters.
  • Experience in the medical device, healthcare, or technology sectors preferred.
  • Strong background in corporate transactions, governance, regulatory compliance, and risk management.
  • Working knowledge of FDA, FCPA, Anti-Kickback Statute, AdvaMed Code, and international compliance regulations.
  • Ability to work independently and cross-functionally in a fast-paced environment.
  • Excellent negotiation, communication, and business acumen skills.
  • Attention to detail and ability to manage multiple priorities effectively.

Salary range: $215,000 - $240,000. The compensation range for this position is specific to the location and is in good faith what SI-BONE expects to pay for the position taking into account the wide variety of factors that are considered in making compensation decisions, including job-related knowledge; skillset; experience, education and training; certifications; and other relevant business and organizational factors.

Supplemental pay: 20% annual target bonus and RSUs vested over 4 years
