The Role

Work alongside our team to support clients in venture law matters, from entity formation to fundraising, contracts, and M&A. You’ll contribute to a scalable, process-driven firm that prioritizes efficiency and client success, shaping our growth in Chattanooga by delivering exceptional client experiences.

Responsibilities

  • Draft and prepare corporate formation and governance documents such as certificates of incorporation, bylaws, resolutions, and equity award documents.
  • Navigate and file documents (e.g., Form ADV, Form D) with various governmental offices (e.g., Delaware Secretary of State, Securities Exchange Commission).
  • Prepare and maintain client files, books and records, data rooms, and capitalization tables.
  • Conduct research and due diligence on corporate governance, securities, and related topics.
  • Communicate with clients to enhance their experience and ensure smooth project management and delivery.
  • Monitor legal developments and updates to administrative processes (e.g., filing requirements).
  • Drive efficiency and client satisfaction through standardized workflows and tech tools.

Qualifications

  • Paralegal certificate or equivalent experience.
  • 2-4 years of experience in corporate or transactional law.
  • A proactive mindset with strong organizational skills and a passion for process improvement and client experience.
  • Significant experience with technology (e.g., Notion, Loom, Drive, Ai tools), cap table management software (e.g., Carta or Pulley), and research tools (e.g., Westlaw).
  • Must be willing to work in-office in Chattanooga, TN.
