M&A Corporate Paralegal

Our customer, providing technology-enabled back-office support for a law firm, is seeking an M&A Corporate Paralegal.

Duration: 2 months, 10 hours per week

Location: Remote

Start Date: ASAP

Responsibilities

• Support M&A transactions from due diligence to post-closing.
• Prepare, file, and manage UCC financing statements and lien searches.
• Conduct due diligence (corporate records, contracts, UCC searches).
• Draft and organize transaction documents (purchase agreements, resolutions).
• Manage deal closings, including signature packets and filings.
• Handle entity formations, qualifications, and dissolutions.
• Maintain corporate records and ensure compliance

Qualifications:

• 3-5+ years of corporate/M&A paralegal experience.
• UCC filing and corporate governance knowledge
• Experience with due diligence, closings, and entity management
• paralegal certificate

Nice to have:

• Experience in private equity, venture capital, or finance transactions.
• Familiarity with SEC filings and compliance regulations
• Prior experience in a law firm or corporate legal department
