About Our Client

Our client specializes in operationally critical, single-tenant properties across North America and Europe.

Job Responsibilities

Securities Compliance:

  • Prepare and file forms under Section 16 of the Exchange Act.
  • Track stock ownership of directors and officers.
  • Lead efforts in the transition to Edgar Next.
  • Coordinate with third-party equity plan administrators and conduct related research.

Proxy Statements

  • Assist with the preparation of proxy statements in Workiva, including gathering and preparing beneficial ownership information.

Securities Law Compliance

  • Manage insider trading compliance, pre-clearance processes, and quarterly blackout procedures to ensure adherence to securities regulations.

Additional Responsibilities

Filing and Documentation Management:

  • Assist with maintaining both electronic and physical legal filing systems, including data retention, contract management databases, and policy trackers.

Capital Markets Support

  • Provide assistance to lawyers in capital markets transactions and public company filings.
  • Prepare closing checklists, obtain signatures, and monitor the status of deliverables.
  • Assist in providing materials for due diligence as required.

Legal Research

  • Conduct legal research under the supervision of lawyers to support various corporate governance and legal initiatives.

Corporate Governance And Legal Assistance

  • Provide support for general legal department tasks, including corporate governance and related matters.

Qualifications

Education: Bachelor’s degree or equivalent experience.

Experience: Previous experience in corporate legal departments or law firms, particularly in securities law compliance, capital markets transactions, and corporate governance. Experience in Section 16 is required.

Skills

  • Strong proficiency in MS Office Suite, with experience in Workiva and familiarity with Edgar Next.
  • Excellent organizational, communication, and multitasking skills.
  • Ability to work efficiently under pressure and manage multiple tasks.
  • Attention to detail and ability to maintain confidentiality.
