Corporate Paralegal - Real Estate Investment Trust

  • MUST have Section 16 filing experience within a public company, or public clients*

Key Responsibilities

  • Prepare and file forms under Section 16 of the Exchange Act, track stock ownership for directors and officers, support the transition to Edgar Next, and collaborate with the third-party equity plan administrator on related tasks.
  • Assist in the creation and filing of proxy statements within Workiva, including the preparation of beneficial ownership information.
  • Oversee compliance with securities laws, including managing insider trading policies, pre-clearance procedures, and quarterly blackout periods.

Additional Duties

  • Support both electronic and physical legal filing systems, including data retention, contract management, and tracking corporate policies.
  • Provide assistance in capital markets transactions and public company filings by preparing closing checklists, obtaining signatures, tracking deliverable statuses, and gathering materials for due diligence.
  • Conduct legal research under the guidance of legal counsel.
  • Assist with a variety of legal department and corporate governance matters.

Qualifications

  • 3+ years of experience in a related field.
  • Bachelor’s degree and/or paralegal certification.
  • Experience in a public company or a large law firm with public company clients is preferred.
  • Strong proficiency in Excel required; familiarity with Workiva (or other integrated financial reporting platforms), EDGAR, Diligent (or other board portal software), Microsoft Office Suite (including PowerPoint), and DocuSign is a plus. Must be able to quickly learn new electronic platforms.
  • Exceptional attention to detail, strong organizational skills, and excellent interpersonal, communication, and writing skills.
  • Ability to work independently on routine tasks and collaboratively on more complex projects as needed; strong team player with a solid work ethic.
  • Ability to manage multiple tasks simultaneously while maintaining confidentiality and exercising sound judgment and discretion.
  • Notary public certification (New York) preferred, or willingness to obtain it.
