Corporate Paralegal
Our customer, a Water Utility company, is seeking a Corporate Paralegal to join its team. You will perform various duties related to corporate and legal matters, including dealing with confidential matters and performing supervisory duties regarding administrative assistant personnel as applicable.
Duration: 6 months (with the potential of conversion)
Location: Remote, US
Weekly Hours: 40
Responsibilities:
- Performs duties related to compiling board materials and uploading them to the board portal.
- Assists with filing reports with the Securities and Exchange Commission (SEC), including Section 16 securities ownership filings, proxy statement, and 10-K, 10-Q, and 8-Ks.
- Assists with M&A and company financing activities, including but not limited to organizing and maintaining M&A documentation.
- Ensures the timely renewal of state and local licenses and permits.
- Performs contract-related duties, including but not limited to drafting specific contracts and provisions under supervision, initiating the organization and maintenance of corporate contract files.
- Performs duties related to contract management and risk management, including but not limited to company insurance policy renewals and certificates of insurance, and performs duties related to department and company records.
- Performs duties related to claims procedure and documentation, discovery requests, subpoenas, litigation support, department invoice processing, and legal department spend.
- Prepares correspondence, memoranda, board and committee resolutions, minutes, and written consents, as needed.
- Analyzes legal documents; maintains a working knowledge of legal terminology, contract types, company policies, office operations, and practices.
Required Knowledge, Skills & Abilities:
- Experience uploading and creating documents in Diligent and/or Boardvantage, or a similar board portal.
- Experience creating and filing SEC filings in Wdesk or a similar database is preferred.
- Ability to learn the policies and procedures pertaining to the role.
- Express oneself clearly and concisely verbally and in writing; deal tactfully and effectively with the public and company personnel.
